End User Terms / Terms of Business

1. Research Services

We are an independent research firm. We may, as requested by you and at our sole discretion, provide you with research on the Global Cement and Building Materials sector (the “Research Services“).

2. Consideration for Research Services

Subscriptions (and other fees) will be charged by us for the Research Services which we provide at such rates as shall be mutually agreed from time to time (plus VAT, if applicable, at the rate then prevailing).

Payment for such services is in advance.

3.Duration of Subscription for Research Services

Subscriptions are for a period of 12 months and shall be automatically renewed for successive periods unless terminated by you.

4.Termination of Subscription for Research Services

A notice of intent to terminate the subscription for a successive period should be notified by email to Yassine Touahri at yassine.touahri@onfieldresearch.com at least one month before the subscription period ends.

5. Indemnity and Limitation of Liability

In the event that we provide Research Services to you, you agree and acknowledge that the provision of such Research Services does not constitute advice and that we do not give any representation, guarantee or warranty in relation to the accuracy or completeness of such information.

To this end, we shall under no circumstances whatsoever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with this Agreement (including, for the avoidance of doubt, as a consequence of your or another person’s reliance upon any information, statement, opinion or conclusion  contained in any research provided to you by us under this Agreement).

6. Data Protection and Confidentiality

Information which you give to us is recorded or processed by us both manually and electronically. We do not make this information available to third parties without your consent. We undertake to comply with the provisions of the EU Data Protection Regulation and any other data protection legislation which is in force from time to time.

We use the information you give to us to provide the Research Services and for administrative purposes.

7. Ownership of Work

We retain the copyright and all other rights in all documents and other work, whether in writing or not, provided to you under this Agreement. You are granted a non-exclusive licence to use such documents for the purpose for which they are provided but not otherwise. This licence is granted on condition that you shall not disclose the findings of such documents to any third party nor forward any documents to third parties.

8. Website access

As a subscribing client of On Field Investment Research, you will be provided with a username and password to access our industry reports in the protected section of our Website. Usernames and passwords provided to you by On Field are confidential and no one other than the intended user is authorised to use such username and password. The ownership of work (point 7 above) applies to all research material published on our Website. No right, title or interest in or to the site or any content on the site is transferred to you. No materials or data from this site (including trademarks, images, logos and research reports) may be copied, reproduced, republished, downloaded, posted, transmitted or distributed without our written permission. On Field reserves the right to rescind access to the password protected elements of the Website if these terms of use are violated.
